1. Acceptance of Terms & Electronic Signature
Legit App Inc. (“LegitApp,” “we,” “us,” or “our”) provides authentication services through our website (legitapp.com), API, and mobile applications (collectively, the “Service”).
1.1 Binding Agreement:
By accessing, downloading, or using the Service, you (“User,” “you,” or “Buyer”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 13, do not use the Service.
1.2 Electronic Signature:
You agree that clicking “I Accept,” “Sign Up,” or using the Service constitutes your electronic signature, which is the legal equivalent of your manual signature. You consent to be legally bound by these Terms.
1.3 Age Restriction:
The Services are not intended for children. You represent that you are at least 18 years old. If you are under 18, you may not use the Service.
2. Description of Services & Modifications
LegitApp provides authentication opinions using Artificial Intelligence (AI) and expert review.
2.1 Scope:
Services include Online Authentication (digital analysis), Tag Authentication, Offline Authentication (physical inspection), and API Solutions.
2.2 Right to Modify:
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We are not liable to you for any modification, suspension, or discontinuance.
3. Authentication Disclaimer & Limitations (Crucial Protection)
3.1 Opinion-Based Service:
You acknowledge that our determinations ("Authentic," "Replica," etc.) constitute a professional opinion based on the data provided. They are not a guarantee of fact or a warranty of the item's origin by the original manufacturer.
3.2 Material Limitation (The "Gemstone" Clause):
While we strive for accuracy, we cannot guarantee the authenticity of physical materials (e.g., specific metal purity, internal gemstones, internal watch movements) through remote/digital inspection alone. Our digital process is based on external markings and craftsmanship. You acknowledge the limitations of remote inspection.
3.3 Certificate Use Restrictions:
You are strictly prohibited from:
- Using a LegitApp Certificate for any item other than the specific item authenticated.
- Modifying, tampering with, or forging a Certificate.
- Displaying a Certificate in a way that misleads buyers (e.g., associating a "LegitApp" certificate with a different item).
Violation of this section immediately voids any Financial Guarantee and constitutes a material breach of these Terms.
4. Financial Guarantee & Refund Policy
LegitApp offers a limited Financial Guarantee. This is your sole and exclusive remedy for any errors in our Service.
4.1 Scope of Payout:
General Users: Compensation capped at 10 times the authentication fee paid.
Verified Businesses: Compensation capped at the item’s market value, up to $2,000 USD (unless an Enterprise Agreement states otherwise).
4.2 Sole Discretion:
LegitApp reserves the absolute right to interpret this policy, determine eligibility, and value items.
4.3 No Refunds for "Replica" Results:
We do not offer refunds simply because an item is deemed a replica. Refunds are only issued if we are unable to complete the authentication (e.g., "Unable to Authenticate").
5. User Content, Data & Feedback
5.1 Ownership of Data:
You grant LegitApp a perpetual, irrevocable, worldwide, royalty-free license to use any images, data, or text you upload ("User Content") for any purpose, including training our AI models, marketing, and internal research.
5.2 Performance Data:
LegitApp owns all "Performance Data" (analytics, response times, usage statistics) generated by the System.
5.3 Feedback:
Any suggestions, ideas, or feedback you provide to LegitApp are non-confidential. You grant us an unrestricted, perpetual right to use such feedback without compensation to you.
6. Prohibited Use & Non-Disparagement
6.1 Prohibited Acts:
You agree not to:
- Submit images of items you do not own or lack permission to photograph.
- Use the Service to validate counterfeit goods for the purpose of deceiving others.
- Reverse engineer our AI, scrape data, or access our API without authorization.
- Anti-Social Forces: You represent that you are not a member of, or affiliated with, any organized crime group, gang, or sanctioned entity.
6.2 Non-Disparagement:
You agree not to make, publish, or communicate to any person or in any public forum (including social media) any defamatory or disparaging remarks concerning LegitApp, its employees, or its accuracy rates.
7. Mobile Application (Apple/Google Requirements)
7.1 App License:
Subject to your compliance, we grant you a limited, non-exclusive, non-transferable license to use the App on a device you own.
7.2 Apple App Store Terms:
If you download the App from the Apple App Store:
- You acknowledge this Agreement is between you and LegitApp, not Apple.
- Apple has no obligation to furnish maintenance or support for the App.
- In the event of any third-party claim that the App infringes intellectual property rights, LegitApp (not Apple) is responsible for the investigation and defense.
- Apple is a third-party beneficiary of these Terms.
8. Payment & Taxes
8.1 Fees:
You agree to pay the fees designated for the Service. We may change pricing at any time.
8.2 Taxes:
Fees do not include sales, use, or value-added taxes. You are responsible for paying all applicable taxes.
8.3 Payment Processors:
We use third-party processors (e.g., Stripe). By using the Service, you agree to their respective terms and privacy policies.
9. Offline Authentication (Shipping)
9.1 Risk of Loss:
You bear the risk of loss during shipment to us.
9.2 Liability Cap:
While the item is in our possession, our liability for loss or damage is limited to the lower of (a) the current market value or (b) $500 USD, unless you purchased additional insurance.
9.3 Abandoned Items:
Items left in our possession for more than 90 days without resolution or return shipping payment will be considered abandoned and disposed of at our discretion.
10. Indemnification
You agree to defend, indemnify, and hold harmless Legit App Inc., its officers, directors, and employees from any claims, damages, liabilities, costs, and expenses (including attorney's fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of any third-party right; or (iv) any claim that your User Content caused damage to a third party.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
11.1 "As Is":
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
11.2 Cap on Damages:
IN NO EVENT SHALL LEGITAPP BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS). OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE LAST 6 MONTHS, OR (B) $100 USD.
12. Force Majeure
LegitApp shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, pandemics, or network infrastructure failures.
13. Dispute Resolution, Arbitration & Class Action Waiver
13.1 Time Limit:
You agree that any claim or cause of action arising out of your use of the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
13.2 Class Action Waiver:
You and LegitApp agree that each may bring claims against the other only in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
